Chapter 1. General Provisions

Article 1. Purpose

The purpose of these Terms and Conditions is to stipulate the conditions and procedures, rights, obligations, responsibilities, and other necessary matters between SOOP Co., Ltd. (hereinafter referred to as the “Company”) and the user with respect to provided services (refers to all services provided by the Company so that users can use them through various digital devices or programs such as PCs and multimedia mobile devices).

Article 2. Validity and Amendment of the Terms and Conditions

① These Terms and Conditions are posted and announced on all Internet services provided by the Company. The Company may revise these Terms and Conditions to the extent that they do not violate relevant laws such as the Act on the Regulation of Terms and Conditions and the Act on Promotion of Information and Communications Network Utilization and Information Protection (hereinafter referred to as the “Information and Communications Network Act”). If the Company changes these Terms and Conditions, the Company shall set the contents of the changed Terms and Conditions and the effective date, and notify users at least seven (7) days before the date of application (thirty (30) days for changes that are unfavorable or significant to the user) and for a substantial period of time after the date of application, and shall send the Terms and Conditions to be changed, the date of application, and the reason for the change (including an explanation of the significant changes) to existing users via e-mail or phone number (text message). Changed Terms and Conditions shall take effect from the effective date of publication or notification.

② Users shall have the right to disagree with the changed Terms and Conditions. However, if the user does not express their intention to refuse the revised Terms and Conditions within ten (10) days (thirty (30) days in the case of changes that are unfavorable or significant to the user) from the date of enforcement, the user shall be deemed to have agreed to the revised Terms and Conditions.

③ If the details stipulated in these Terms and Conditions conflict with the usage regulations set forth in the individual Terms of Use, the provisions of the individual Terms of Use shall take precedence.

Article 3. Application of the Terms and Conditions

Matters not specified in these Terms and Conditions shall be subject to the separate detailed Terms and Conditions, related practices, Company notices, user guides, and relevant laws and regulations.

Chapter 2. Conclusion of Use Agreement

Article 4. Service Categorization

① The service provided by the Company to the user is categorized into free services, paid services, etc.

② The types of free services, paid services, etc. and the method of use shall be separately determined by this Agreement and the Company in notices or user guides.

③ The service usage level shall be in accordance with the usage level information displayed on the initial content screen, and the Company may impose usage restrictions or restrictions by grade for users to comply with the grade and age in accordance with the Youth Protection Act, etc.

Article 5. Establishment and Conclusion of Use Agreement

① The Use Agreement shall be established upon approval from the Company for application from the user for service.

② The Use Agreement shall be concluded on a per-user basis.

③ Agreements regarding the use of special services, such as mass use of services, shall be separate agreements.

Article 6. Application for Use

① If a user wishes to use the service, the user must apply for use by filling out the information requested by the Company in the prescribed subscription application form via access to the Internet, etc.

② The Company shall notify users of the main details of these Terms and Conditions.

③ When a user clicks the “Consent” button at the bottom of the notice in the preceding Paragraph or checks the checkbox and applies for use, the user shall be considered to have agreed to these Terms and Conditions.

④ Applications for use must be made under the real name of the user.

⑤ Users must apply for service use through the identification method provided by the Company, and users who do not register with their own name may not claim any rights.

⑥ False accounts of users who apply for use by stealing the information of another person (i-PIN and mobile phone information, etc.) shall be suspended from using the service.

⑦ If the user is under the age of 14, the user may apply for the use of the service with the consent of a legal representative such as a parent.

⑧ In the case of the preceding Paragraph, the user must apply for use by submitting a document (including an electronic document) to the Company that confirms that the user has received the consent of their legal representative.

Article 7. Approval of Application for Use

① The Company shall, in principle, approve the application for use without delay if there are no difficulties in business performance or technology regarding the application for use pursuant to the provisions of the preceding Article.

② When the Company approves the application for use, the Company shall notify the user of the following matters through the service or by e-mail, etc.

1. ID
2. Matters pertaining to the protection of rights and interests, obligations, etc. of the user
3. Other matters users need to know when using the service

Article 8. Disapproval and Withholding Approval of Application for Use

① The Company may not approve applications for use that fall under any of the following:

1. When there is a violation of Article 6 or Article 12, Paragraph 6 thereof
2. When the application is false or false documents are attached
3. When the user fails to pay any fees owed to the Company
4. When it is difficult to approve use due to other reasons attributable to the user

② If there is a reason that falls under any of the following, the Company may withhold approval until such reason is resolved:

1. If the Company does not have enough facilities
2. If there is a problem with the service
3. Cases falling under Article 6, Paragraph 7 thereof

Article 9. Granting of ID, etc.

① The Company, in principle, shall grant IDs as requested by users.

② In principle, the ID may not be changed.

③ If the ID or nickname falls under an item of Article 12, Paragraph 6, the Company may stop providing the “service” to the user in question and recommend that the user apply for use with a new ID or nickname.

④ Up to two (2) IDs may be created under the same name. (However, members under the age of 14 shall be allowed a maximum of one (1).)

Chapter 3. Obligations of Contracting Parties

Article 10. Duty of the Company

① If the Company deems that opinions or complaints raised by users are justified, the Company shall immediately process them. However, if immediate processing is difficult, the Company shall notify the user of the reason and timeline for the processing via e-mail, etc.

② The Company may suspend the provision of all or part of the service in the event of a failure or loss of facilities and the need for repair or recovery, or if necessary for the continued and stable provision of the service. In such cases, the Company shall notify the user of the reason, the period of suspension, the status of the response, and the contact information for consultation. However, if there are unavoidable circumstances that cannot be notified in advance, such as the following items, the Company shall notify users after the fact or notify users individually.

1. When it is unavoidable for the Company to conduct urgent system inspection, expansion, replacement, facility repair, or construction
2. When it is impossible to provide normal services due to the system or other service facility failures, service overload, facility maintenance or inspection of key telecommunications carriers, or wired/wireless network failures
3. When there are cases of force majeure beyond the control of the Company, such as natural disasters, national emergencies, power outages, etc.

③ The Company shall strive to provide convenience to the user in the procedures and contents related to the Use Agreement with the user, such as the conclusion of the Use Agreement, modification and termination of the Use Agreement, etc.

④ The Company shall post the name of the representative, company name, address, telephone number, FAX number, mail order business registration number, Terms of Use, and Privacy Policy on the initial screen of the online service so that users are able to easily recognize these facts.

Article 11. Personal Information Protection

The Company values the personal information of users and complies with relevant laws and regulations such as the Information and Communications Network Act, the Personal Information Protection Act, and the Telecommunications Business Act. The Company shall inform the user of the purpose and manner in which the personal information provided by users is used and what measures are being taken to protect personal information through the Privacy Policy.

Article 12. Duty of the User

① The user shall fill out the application for use through membership registration based on facts. If the user registers false information or information of another person, the user shall not claim any rights against the Company, and the Company shall not be liable for any damages caused by this.

② The user shall comply with the matters stipulated in these Terms and Conditions, other regulations set by the Company, and notices issued by the Company. In addition, the user shall not engage in any acts that interfere with the business of the Company or damage the reputation of the Company.

③ Users shall comply with relevant laws and regulations, including the Youth Protection Act, the Fairness in Display and Advertising Act, the Act on Promotion of Information and Communication Network Utilization and Information Protection, etc. Violation of these laws and regulations may result in criminal penalties and sanctions in accordance with the operating policies of the Company.

④ The user shall immediately correct any changes to matters in the Use Agreement, such as address, contact information, e-mail address, etc. online. The user shall be responsible for any liability arising from failure to correct or delay in correcting.

⑤ The user must manage their service ID and password themselves. The Company shall not be responsible for problems arising from user negligence in management.

⑥ When selecting an ID, nickname, or other name used within the service, the user shall not use any of the following:

1. Any name that causes confusion to other users by impersonating the official operator of the service provided by the Company or using a similar name
2. Use of names containing suggestive and obscene content
3. Use of names that may infringe the rights of a third party, such as trademarks or copyrights
4. Use of names that are judged to be profanity, slang, or contain content that is anti-social and detrimental to public order and morals
5. Information that has a risk of personal information leakage or invasion of privacy, such as resident registration number, phone number, etc.
6. Information that violates relevant laws and regulations or is within reasonable grounds for protecting users

⑦ The user shall not sell, give away, pledge, or otherwise provide the right to use the service and other status under the Use Agreement to others or allow others to use it unless explicit consent from the Company has been obtained.

⑧ Users shall not use the services provided by the Company for any purpose other than the original purpose of use. The user shall not engage in any of the following acts, and if the user engages in any of the following acts, the Company may impose sanctions including restricting the use of the service by the user, deleting the account of the user, or taking other lawful measures such as prosecution by an investigative agency, in accordance with these Terms and Conditions and the operating policies announced for each service.

1. Entering false information in personal information when registering or changing membership
2. Stealing or fraudulently using the personal information of another person
3. Buying or selling cyber assets, such as the ID of a user or another person
4. Impersonating management or employees of the Company
5. Exploiting a bug in the programs of the Company
6. Engaging in business activities using the service without prior consent from the Company
7. Harassing or threatening other users or causing pain, harm, or inconvenience to other users
8. Changing the client program of each service, hacking the server, changing part of the website without approval from the Company, or using, encouraging, or advertising the use of a program developed or distributed for this purpose
9. Interfering with the stable operation of the service by transmitting large amounts of information for viewing or advertising view counts or for other unlawful purposes
10. Interfering with the transmission of, damaging, or deleting posts, videos, or other advertisements of the Company or other users
11. Collecting or storing personal information of other users without the approval of the Company
12. Continuously transmitting advertising information or e-mails against the wishes of the recipient
13. When there are cases of infringement of intellectual property rights such as copyright, trademark, patent, etc. of others
14. Using, distributing, encouraging the use of, or advertising software or hardware that participates in the contents of the service without permission by using software or hardware without permission from the Company
15. Changing the usage method or planning intention of the service program provided by the Company, or causing abnormal harm to or intentionally interfering with the service
16. Duplicating information obtained through this service for purposes other than using the service, using it for publication or broadcasting, or providing it to a third party without prior consent from the Company
17. Using the service for illegal purposes, such as transmitting, posting, e-mailing, or otherwise disseminating to others information, sentences, shapes, sounds, videos, or pirated software of a vulgar or obscene nature that violates public order and morals
18. Paying through fraudulent means by deceiving the payment institution or abusing chargebacks to purchase or refund paid services without justifiable reasons
19. Using, paying for, purchasing, exchanging, or refunding paid services through mobile phones or gift certificates in order to provide or finance funds other than for the purpose of legitimate sponsorship Assisting, soliciting, mediating, arranging, or otherwise advertising in any case listed hereof
20. When usage restrictions have been reviewed and approved by the Korea Communications Commission
21. Violating other regulations or Terms of Use established by the Company, including these Terms and Conditions, and other relevant laws and regulations

Chapter 4 Service Restrictions, Suspension, etc.

Article 13. Restrictions, etc. on Services

① The Company may limit or suspend all or part of the service if there is an unavoidable reason, such as war, an incident, a natural disaster, or a similar national emergency, or if telecommunications service is suspended by a telecommunications service provider pursuant to the Telecommunications Business Act.

② Notwithstanding the provisions of the preceding Paragraph, free service may be restricted or suspended in whole or in part for reasons such as the management policy of the Company and may be converted to a paid service.

③ When restricting or suspending the use of the service or converting a free service into a paid service, the “Company” shall inform the user of the reason, restriction period, scheduled date and time, etc. without delay.

④ If there is no history of service use for two (2) consecutive years from the date of final use, the Company may permanently delete member information after notifying the user of the fact that personal information is being destroyed in accordance with the Personal Information Protection Act, the expiration date of the period, and the items of personal information to be destroyed in accordance with Article 21, Paragraph 1 of these Terms and Conditions. However, if the user had a paid product, personal information shall not be subject to deletion, and if it is necessary to preserve information in accordance with the provisions of related laws and regulations, the Company shall keep member information for a certain period of time as prescribed by related laws and regulations.

Article 14. Suspension of Service Provision, Restrictions on Use

① The Company may suspend the provision of all or part of the service if the user does not pay the fees for the paid service for more than one (1) month from the designated date.

② If the use of the user becomes restricted pursuant to the provisions of Article 15, specific standards, such as the type and period of restrictions, shall be determined separately in the operating policies, notices, usage instructions, etc. of the Company.

Article 15. Use Restrictions and Cancellation Procedures

① When the Company intends to restrict the use of the service, the Company shall determine the reason, date, and period of time and notify the user in advance by phone or e-mail. However, this shall not apply in cases where it is separately stipulated by law or when there is an urgent need to restrict use.

② A user who has received a notice of suspension of use pursuant to the provisions of the preceding Paragraph may file an objection if the user has an objection to the notice of suspension of use.

③ The Company shall immediately lift the suspension if it is confirmed that the reason for suspension has been resolved during the suspension period.

④ If it is proven that unfair acts by the user were not intentional or negligent, the Company shall extend the period of use for the paid service being used by the user by the period of suspension.

Article 16. Termination, etc. of Services

① Users may terminate the Use Agreement by requesting membership withdrawal at any time through “Site Map -> Personal Information -> Withdraw Membership” on the homepage of the website, or may also apply to the Company in writing or by phone.

② If a termination request is received in accordance with the provisions of the preceding Paragraph, the Company shall restrict the use of the service without delay.

③ If the Company intends to terminate the Use Agreement, the Company shall notify the user of its intention and give the user an opportunity to express their opinion at least seven (7) days before the termination. However, if any of the following items apply, the Company may terminate the Agreement immediately:

1. When the user commits a serious illegal or fraudulent act that is against the relevant laws and regulations, Terms and Conditions, or other service purposes
2. When it is confirmed that the application is under the name of another person, the application is false, or an application was submitted with false documents attached
3. When the user clearly expresses their intention to refuse to perform the obligations under the Terms and Conditions or agrees to immediate withdrawal processing

④ The Company may refuse to accept the application of the terminated user for a certain period of time after termination.

⑤ The Company shall delete the data and personal information provided to and stored in the service by the terminated user and shall not bear any responsibility in this regard. However, certain personal information may be retained in accordance with relevant laws and personal information processing policies, and some posts, such as posts or comments that have been scraped, recorded, edited, or changed by other users, cannot be deleted, so the user must take action such as deleting such posts or comments themselves before applying for Agreement termination.

Chapter 5. Compensation for Damages

Article 17. Compensation for Damages

① The Company shall not be liable for any damages caused by the failure or interruption of the free service, loss or deletion of archived data, tampering, etc. However, cases arising from intentional or gross negligence of the Company shall be excluded.

② If the user suffers damages due to a disruption or interruption of the paid service due to reasons attributable to the Company, the Company shall comprehensively consider reasonable procedures and methods prescribed by the Consumer Dispute Resolution Standards, Content User Protection Guidelines, and other relevant laws and regulations for users of paid services, and take measures to ensure that sufficient compensation or indemnification is provided to users.

Article 18. Exclusions

① The Company shall not be responsible for the failure of the user to obtain the expected benefits from the provision of services by the Company.

② The Company shall not be responsible for any damages to users caused by materials posted or transmitted by a third party.

③ The Company bears no obligation to intervene in conflicts that occur between users or between the user and third parties through the service, nor shall it be responsible for compensating for any damages resulting from this.

Chapter 6. Storage, Management, etc. of Data

Article 19. Storage of Data

The Company may set a publication deadline and capacity for information and materials provided by users in accordance with notices and service usage instructions of the Company.

Article 20. Management of Public Postings, etc.

① The Company may take necessary measures such as suspending, deleting, moving, or refusing to register public posts and materials that fall under the following items (hereinafter referred to as “deletion, etc.”) in order to establish a culture of sound communication and operation of efficient service. In such cases, the Company shall not bear any responsibility for the deletion, etc. of posts and materials unless there is an attributable reason. In cases where the Company proceeds with deletion, etc., the procedures in Article 15, Paragraph 1 shall apply.

1. Posts or materials that allegedly involve acts that infringe on the legal interests of others and have been requested to be removed by interested parties, or that provide a reason for the Company to be sued or prosecuted
2. Posts or materials containing viruses that may harm the service
3. Posts or materials that exceed the posting deadline and capacity set under Article 19
4. Posts or materials that cause significant disruption of the service by the other users in violation of Article 12, Paragraph 8
5. Posts or materials requested to be deleted by state agencies, etc. in accordance with telecommunications-related laws and criminal-related laws

② If the Company receives a request from a third party to suspend posting due to defamation or infringement of intellectual property rights, etc., the Company may temporarily suspend posting (or transmission), and if a lawsuit, agreement, or other similar decision by a related agency is reached between the person requesting suspension of posting and the person who registered the post, the Company shall follow suit.

③ If the post in question is temporarily suspended, the user who registered the post may file an objection with the Company by attaching explanatory materials. If reposting is not requested within thirty (30) days from the date the reason for suspension is resolved, the Company may delete the post.

④ Users may request the Company to delete their posts, and the surviving family members of a deceased user may request the transfer, exclusion of access, or deletion of posts by the deceased user after proving the fact of death and family relationship.

Article 21. Provision of Information

① The Company may post various information deemed necessary while the user is using the service, or provide (or transmit) the information to the user by means of e-mail, social media, phone, or postal mail. If the user does not wish to receive this, the user may refuse to receive it by following the method provided by the Company.

② Even for users who have refused to receive information pursuant to the preceding Paragraph, the Company may provide information by e-mail or other methods regarding matters that the user must know, such as changes to the Terms of Use, Privacy Policy, and other important matters that may affect interests of the user.

③ The Company shall not be liable for any losses or damages that occur as a result of the participation of a user in promotional activities from an advertiser or as a result of a transaction, unless attributable to the Company.

④ Some services provided by the Company include advertisements, and if a user does not use Wi-Fi while using the service or viewing advertisements, data communication fees may be charged by the mobile carrier of the user. Data communication fees are borne by the user in accordance with the contract between the user and their mobile carrier, and inquiries regarding such charges should be directed to the mobile carrier.

Article 22. Intellectual Property Rights

① The user shall be responsible for the legal response and outcome in the event of a dispute with a third party such as copyright, personality rights, etc. in relation to content provided to the service (all materials provided by users to the service or uploaded while using the service, such as video files, live cam shots, mobile recorded videos, posts posted at channel or bulletin boards, etc., as well as chat data while watching broadcasts), and the Company shall not bear any liability related to the content unless there is a cause attributable to the Company.

② The Company does not permit copyright infringement or infringement of intellectual property rights through the service, and if a user is properly notified or becomes aware that their content infringes on the intellectual property rights of another person, the service of such content may be suspended or removed in accordance with the procedures set forth in the Copyright Act and other related laws. Additionally, if the content of a user falls under each item of Article 12, Paragraph 8 or Article 20, Paragraph 1, the Company shall reserve the right to delete, move, or refuse to register content in the manner specified in Article 15 or Article 20.

③ The original author shall retain the copyright of the content of the user but shall grant the Company or a person designated by the Company the right to use such content as set forth in these Terms and Conditions. The purposes and methods of the content of the user by the Company are as follows.

1. Allow other users to view the content provided by the user to the service
2. The Company or other users may record/edit/change the content provided by the user to the service to create new content, then allow other users of the service to view the content, or provide the content to an affiliate of the Company so that its users may view it
3. The Company may store the content provided by the user to the service and allow other users to watch the content through replay services such as VOD, or by providing it to affiliates of the Company; the affiliates may allow their users to watch through replay services such as streaming or VOD
4. The Company may reproduce, store, and edit the content provided by the user to the service, and transmit and post the content on the management channels or blogs of the Company for the purpose of promoting the service
5. Content provided by users to the service may be provided to academic, research institutions, and companies for the purpose of analysis, compilation of statistics, technology development, and other service improvement

④ The conditions under which the Company, other users, and affiliates of the Company as stipulated in Paragraph 3 of this Article may use the content of the user as follows:

1. Content usage media/platform - Includes all forms of media, equipment, and technology currently known or developed in the future
2. Purpose of use of content - No distinction between commercial or non-commercial use
3. Scope of content use - Reproduction, modification, adaptation, performance, exhibition, broadcasting, distribution, rental, public transmission, creation of derivative works, and other uses domestically and internationally
4. Terms and Conditions of content use - A non-exclusive, continuous, free-of-charge right that is transferable and sub-licensable

⑤ The user may withdraw the license under Paragraph 3 at any time by withdrawing the provision to the service of the content by deleting or making the content private, withdrawing membership, etc.

⑥ When the Company receives permission to use a copyrighted work from the copyright holder on behalf of the user, a portion of the paid service fee paid by the user shall be used to pay the usage fee. However, the user must comply with the Terms and Conditions of use of copyrighted works and guidelines announced and published by the Company, and if these works or guidelines are violated, the user shall bear responsibility.

Article 23. Court of Jurisdiction and Governing Law

① If a dispute arises between the Company and the user regarding the use of the service, the dispute shall be resolved amicably through consultation.

② If the matter is not resolved under the preceding Paragraph, the jurisdiction of the lawsuit shall be determined in accordance with the Civil Procedure Act.

③ The interpretation and application of these Terms and Conditions shall be based on the laws and regulations of the Republic of Korea.

Article 24. Consent to the Use of Data Transmission Technology

The Company may use technology that relays data between users to transmit data. By agreeing to these Terms and Conditions, the user shall agree to allow others to receive relay transmission through their device such as a PC. The details of transmission technology shall be posted and notified in the user guide, etc., and detailed consent on additional content shall be made by agreeing to the separate file transfer manager Terms and Conditions.
